1. Introduction
This Creator Agreement (“Agreement”) is between you (“Creator”, “you”) and Lorevik, operated by [Lorevik Pty Ltd (proposed), ACN [●], ABN [●]] (“Lorevik”, “we”, “us”). This Agreement governs your participation as a creator and publisher of Living Surfaces and related digital products on the Lorevik platform at lorevik.com (the “Platform”).
The English version of this Agreement controls to the extent permitted by law. Any translation is provided for convenience only and does not limit any mandatory rights available under applicable law.
By applying to become a creator and publishing content on the Platform, you agree to be bound by this Agreement, in addition to the Lorevik Terms of Service and Privacy Policy.
2. Creator Eligibility and Approval
2.1 Eligibility
To apply as a creator, you must:
- Be at least 18 years of age
- Have the legal right to enter into this Agreement
- Have a valid Stripe account (or be able to create one) for receiving payments
- Not have been previously removed from the Platform for violations
2.2 Application Process
- Creator status is granted through an application and approval process
- We may request additional information to verify your identity and qualifications
- We assess applications against the Platform's eligibility, identity, trust, safety, and content standards and will act reasonably when deciding whether to approve an application
- We may suspend or revoke creator status if you materially fail to maintain the standards set out in this Agreement, subject to the notice and emergency boundaries in Section 8
3. Content Rights and Licensing
3.1 Ownership
You retain any intellectual property rights you hold in the content, method materials, workflow traces, and other materials you create and publish on the Platform. Nothing in this Agreement transfers those rights to Lorevik except for the licence you grant below.
3.2 Licence Grant
By publishing content on the Platform, you grant Lorevik a non-exclusive, worldwide, royalty-free licence to:
- Host, store, and display your content on the Platform
- Distribute your content to purchasers and subscribers
- Use your content (including titles, descriptions, and excerpts) for marketing and promotion of the Platform
- Create thumbnails, previews, and summaries of your content for discovery purposes
This licence continues for as long as your content remains on the Platform, and terminates when you remove your content (subject to existing purchaser access rights as described in Section 8).
3.3 Living Surface Package and Local Vault Boundary
Publishing a Living Surface listing, package, manifest, or preview does not automatically grant Lorevik or any buyer access to your raw local vault files, private notes, credentials, or unreviewed source materials. Data may be processed or transmitted when you enable or initiate an upload, publication, export, connector, AI provider, agent, or another permissioned feature. The data path depends on the feature you enable and the permissions you grant.
3.4 No Exclusivity
This Agreement does not grant Lorevik exclusive rights to your content. You are free to publish, distribute, and sell your content on any other platform or through any other channel. There are no non-compete restrictions.
4. Commercial Terms and Payouts
4.1 Platform Fees
You are the merchant and legal seller of record for your creator product sales. Buyer payments are created as direct charges on your connected Stripe account. Stripe deducts Lorevik's platform application fee and the remaining balance stays in your connected account, subject to Stripe's processing fees, reserves, refunds, and chargebacks.
Lorevik's standard platform fee is currently 10% of the gross sale amount. Promotional rates may reduce that fee, and the platform fee will not exceed 15%. The rate applied to a transaction is the rate shown in your Creator Dashboard or applicable checkout terms. Lorevik does not charge a separate discovery commission.
4.2 Founder Creator Program
Lorevik may designate eligible creators as Founder Creators. Founder Creators may receive promotional commission rates for a limited period determined at Lorevik's discretion.
4.3 Payment Schedule
- Payments are processed according to the payout schedule shown in the creator dashboard or Stripe account
- Earnings may be reduced by payment processing fees, applicable taxes, refunds, chargebacks, reserves, and other amounts shown at checkout or in the commercial terms
- All payments are made through Stripe to your connected Stripe account
4.4 Minimum Payout
Stripe may apply minimum payout, settlement, reserve, or availability requirements to your connected account. Funds remain subject to your Stripe account configuration and Stripe's applicable terms.
4.5 Taxes
You are solely responsible for reporting and paying all taxes applicable to your earnings. Lorevik does not withhold taxes on your behalf unless required by law. You agree to provide any tax documentation we reasonably request.
4.6 Creator Membership Subscription
A paid Lorevik Creator Membership is a recurring subscription sold by Lorevik and is separate from the platform fee on Creator Product sales. The current plans are A$29 billed monthly and A$290 billed annually. The selected price and billing interval are shown before checkout, and the subscription automatically renews at that interval until cancelled.
You may cancel future renewals at any time through the Stripe-hosted billing portal available from your Lorevik account. The portal's confirmation explains how cancellation affects the subscription. A cancellation request stops future renewals in accordance with that confirmation; it does not create an absolute right to a refund for a current billing period and does not limit any rights available under applicable consumer protection laws.
Unless the checkout or billing portal states otherwise, or applicable law requires a different outcome, paid membership access continues to the end of the current paid billing period after cancellation. Access may end after that period if the subscription is cancelled or a renewal payment is not completed.
4.7 Refund Administration
As the seller of each Creator Product, you remain responsible for remedies owed to buyers under applicable law. You authorise Lorevik to initiate or administer a refund through your connected Stripe account where the buyer uses the marketplace's voluntary refund policy, where you approve a refund, or where a refund is required by law. Unless Lorevik expressly states otherwise, Lorevik's platform application fee is not returned to you when a Creator Product is refunded. This is an allocation between Lorevik and the Creator and does not reduce any amount owed to the buyer.
5. Content Standards
5.1 Quality Standards
Content published on the Platform must:
- Be original or properly licensed
- Be accurate and not intentionally misleading
- Be of reasonable quality in terms of production and presentation
- Comply with all applicable laws and regulations
5.2 Prohibited Content
You must not publish content that:
- Infringes any third party's intellectual property, privacy, or other rights
- Contains illegal, harmful, threatening, abusive, defamatory, or hateful material
- Contains malware, viruses, or other harmful code
- Promotes illegal activities
- Violates any applicable law or regulation
5.3 Content Review
We reserve the right to review content before or after publication and to remove from sale any content that violates this Agreement or our Terms of Service. Normal removal stops new sales but does not by itself terminate existing purchaser licences or disable installed copies. Extreme removal is limited to Section 8.4. We will make reasonable efforts to notify you if content is removed and provide the reason.
5.4 Hosted Content and Copyright Complaints
Lorevik may remove or restrict access to hosted listings, previews, comments, or marketplace bundles where required by applicable law, a regulator, or a binding legal process. Lorevik may also pause new distribution while it reasonably reviews a substantiated copyright or other rights complaint. Removing hosted marketplace material does not by itself terminate an existing purchaser licence or disable an installed local copy.
A copyright complaint should identify the protected work, identify the affected listing or version, explain the complainant's rights and the basis of the complaint, provide contact details and supporting material, and confirm that the complaint is made in good faith. We may give you a reasonable opportunity to respond and may request further information before deciding what action is proportionate, unless law or urgent risk requires earlier action.
6. Creator Responsibilities
As a creator, you represent and warrant that:
- You own or have all necessary rights and licences to the content you publish
- Your content does not infringe on any third party's rights
- Your content is accurate to the best of your knowledge
- You will respond to user enquiries about your content in a reasonable timeframe
- You will comply with all applicable laws, including consumer protection laws
- You will not engage in fraudulent or manipulative practices to inflate sales or reviews
7. Platform Responsibilities
Lorevik will:
- Provide the technology infrastructure to host, distribute, and sell your content
- Provide the Stripe Connect integration through which buyer direct charges are created on your connected account and Lorevik's application fee is recorded
- Handle customer support for Platform-related issues (billing, account access)
- Maintain published contact routes for Platform support and copyright or rights complaints, and reasonably route Creator Product issues between the buyer and Creator where an applicable support workflow is available
- Notify you of any material changes to this Agreement
8. Content Removal and Termination
8.1 Voluntary Content Removal
You may remove any of your content from the Platform at any time. Upon removal:
- The content will no longer be available for new purchases
- Existing purchasers will retain access to content they have already purchased
- Removing the content does not by itself remove funds already recorded in your connected Stripe account, subject to Stripe's processing, reserve, refund, and chargeback rules
8.2 Termination by Creator
You may terminate this Agreement and your creator account at any time by providing written notice to us. Upon termination:
- All your content will be removed from sale (subject to existing purchaser access)
- Funds in your connected Stripe account remain subject to Stripe's payout schedule, reserves, refunds, chargebacks, and applicable terms
- You must continue to honour any obligations related to content already sold
8.3 Termination by Lorevik
We may terminate this Agreement and your creator account if:
- You materially breach this Agreement
- Your content repeatedly violates our content standards
- You engage in fraudulent or illegal activity
- We are required to do so by law
We will provide reasonable notice (at least 14 days) unless immediate termination is necessary due to legal requirements or egregious violations. Funds already recorded in your connected Stripe account remain subject to Stripe's payout, reserve, refund, chargeback, and applicable account terms.
Termination of a creator account normally removes affected content from new sale only and does not by itself terminate existing purchaser licences or disable installed copies.
8.4 Extreme Removal and Emergency Containment
Only where Lorevik reasonably determines that content contains malicious code, has a serious security vulnerability, is subject to a binding legal order, or infringes rights after the infringement has been confirmed, Lorevik may take proportionate emergency action. That action may include quarantining the affected listing or bundle, stopping further distribution, and, only where reasonably necessary, restricting access to or operation of affected purchased copies. This is not a general right to disable purchased content at any time.
Lorevik will use reasonable efforts to notify affected creators and purchasers and explain the action, unless notice is prohibited by law or immediate action is reasonably necessary to contain material harm. Any mandatory refund, replacement, cancellation, or compensation rights remain unaffected.
9. Dispute Resolution
9.1 Between Creator and Lorevik
We encourage informal resolution of disputes. The parties may agree to mediation, but mediation is not a mandatory precondition to exercising a statutory right, contacting a regulator, seeking urgent relief, or bringing a claim in a court or tribunal that has jurisdiction.
9.2 Between Creator and Users
As the legal seller, the Creator remains responsible for responding to product-quality, support, refund, and consumer-remedy requests under applicable law. Lorevik may provide reasonable Platform assistance or route communications, but doing so does not transfer the Creator's seller obligations to Lorevik or exclude obligations that law places on Lorevik.
10. Limitation of Liability
To the maximum extent permitted by law, Lorevik is not liable for any indirect, incidental, or consequential damages.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.
11. Confidentiality
Both parties agree to keep confidential any non-public business information disclosed during the course of this Agreement, including but not limited to sales data, revenue figures, and business strategies.
12. Modifications to This Agreement
We may update this Agreement prospectively where reasonably necessary to reflect changes to the Platform, law, security requirements, or our business. We will explain material changes and provide at least 30 days' advance notice by email or Platform notification. A change will not retrospectively reduce an existing purchaser licence or a mandatory right. If you do not agree, you may terminate this Agreement under Section 8.2 before the change takes effect. Where law requires fresh agreement, we will ask you to accept the updated Agreement.
13. Governing Law
This Agreement is governed by and construed in accordance with the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts and tribunals of New South Wales. Nothing in this clause limits a mandatory right or prevents a person from bringing a claim in another forum available under applicable law.
14. General Provisions
- Independent contractor: You are an independent contractor, not an employee, agent, or partner of Lorevik
- Entire agreement: This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement regarding your role as a creator
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force
- Assignment: You may not assign this Agreement without our prior written consent, which will not be unreasonably withheld. We may assign this Agreement to an affiliate or in connection with a genuine merger, reorganisation, financing, or sale of all or substantially all of the relevant business, provided the assignment does not reduce mandatory rights or materially increase your obligations
